Terms of Service

These Terms of Service ("Terms") govern your use of SoulChat AI, provided by SCIENJOY META TECHNOLOGY L.L.C ("SoulChat AI," "we," "us," or "our"). By downloading, accessing, or using SoulChat AI, you agree to these Terms. If you do not agree, do not use the app.

1. Eligibility

You must be at least 16 years old, or meet any higher minimum age required by the laws of your country or region, to use SoulChat AI.

If you are below the legal age of majority where you live, you may use the app only with permission from a parent or legal guardian. You may use the app only where it is legally available.

2. The Service

SoulChat AI lets you select company-provided characters and interact with them through text or voice. AI-generated replies may be presented through text, synthesized speech, animated characters, and changing visual scenes.

The current version does not require an account and does not offer subscriptions or in-app purchases.

Some features require an internet connection and rely on AI, speech recognition, speech synthesis, hosting, and content-delivery services. Features, characters, and availability may change as we maintain and improve the service.

3. License and Apple Terms

Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to use SoulChat AI for lawful, non-commercial purposes.

For apps obtained through Apple's App Store, the Apple Standard Licensed Application End User License Agreement also applies. These Terms supplement that agreement and govern the SoulChat AI service. They do not limit any rights that cannot be limited under applicable law.

4. AI-Generated Content

SoulChat AI characters and their responses are artificial and fictional. They are not human beings, and their responses do not represent the views of SCIENJOY META TECHNOLOGY L.L.C.

AI-generated content may be inaccurate, incomplete, unexpected, or unsuitable. SoulChat AI is provided for entertainment and roleplay and is not a substitute for professional medical, mental-health, legal, financial, or other advice. Do not rely on the app for emergency or high-risk decisions. In an emergency, contact local emergency services or a qualified professional.

You are responsible for deciding whether and how to act on any generated content.

5. Your Messages

You retain any rights you have in the text or voice input you provide. You give us a limited permission to transmit and process that input only as needed to operate, secure, and support the service and generate the response you request.

We do not claim ownership of your messages and do not use conversation or voice content to train AI models. Generated responses may not be unique, and we do not guarantee that you own intellectual-property rights in them.

Users cannot publish or upload character cards to the character plaza in the current version of SoulChat AI.

6. Our Content and Intellectual Property

SoulChat AI, including its software, interface, brand, characters, images, voices, animations, and other company-provided or licensed materials, is owned by us or our licensors and is protected by applicable intellectual-property laws.

You may use this content only within SoulChat AI under these Terms. You may not copy, sell, redistribute, publicly exploit, or create unauthorized commercial uses of it.

7. Acceptable Use

You must not use SoulChat AI to:

• break the law or violate another person's rights;
• create or request child sexual abuse material, non-consensual sexual content, or other illegal content;
• threaten, exploit, defraud, harass, or harm another person;
• submit personal, confidential, copyrighted, or other protected material that you do not have the right to use;
• bypass safety measures or attempt to gain unauthorized access to the app or its services;
• interfere with, overload, scrape, reverse engineer, or misuse the service, except where applicable law expressly permits; or
• extract or expose credentials, security mechanisms, character assets, or other protected resources.

We may restrict access to the service when reasonably necessary to address misuse, security risks, legal requirements, or violations of these Terms.

8. Privacy

Our Privacy Policy explains how information is handled when you use SoulChat AI. Reading or accepting these Terms does not replace any separate, explicit permission required before sharing personal data with third-party AI services.

9. Availability and Changes

We aim to keep SoulChat AI available and reliable, but we do not guarantee that it will always be uninterrupted, error-free, or that every character or feature will remain available. We may update, suspend, or discontinue all or part of the service for maintenance, security, legal, licensing, or product reasons.

You may stop using SoulChat AI at any time by deleting the app.

10. Disclaimers

To the extent permitted by law, SoulChat AI is provided "as is" and "as available," without warranties of uninterrupted availability, accuracy, fitness for a particular purpose, or non-infringement. Nothing in these Terms excludes warranties or consumer rights that cannot legally be excluded.

11. Limitation of Liability

To the extent permitted by law, SCIENJOY META TECHNOLOGY L.L.C and its officers, employees, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, or punitive losses arising from your use of or inability to use SoulChat AI.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

12. Changes to These Terms

We may update these Terms to reflect changes to SoulChat AI, applicable law, or our operations. We will post the updated Terms and revise the date above. If a change is material, we will provide additional notice where required. Your continued use after the updated Terms take effect means you accept them.

13. Governing Law

These Terms are governed by the federal laws of the United Arab Emirates and the applicable laws of the Emirate of Dubai, without limiting any mandatory consumer protections available to you under the laws of your country or region. Subject to those mandatory rights, disputes will be submitted to the competent courts of Dubai, United Arab Emirates.
